Fiduciary condition and protection of confidentiality in contracts (Capital supply contracts - with a comparative reference)

Secrets arising from contracts in all economic, commercial, industrial, etc. fields, economic prosperity and the growth of the commercial competition system have an important role. The growing growth of economic espionage causes the inherent importance of trade secrets, and the creation of a special support mechanism for it. This support basically shows the society's sensitivity to this issue and is considered necessary for the growth of the economic system. In contractual relations, the recipient of secrets is responsible for keeping confidential information and using it according to the established rules, and the result of non-compliance will be the fulfillment of his responsibility. The American legal system, by establishing special protective laws in the field of contractual secrets, seeks to protect the rights of the owners of these secrets as much as possible, and the Iranian legal system, although it generally provides preliminary protection against the violation of secrets; However, the situation is not clear regarding solutions such as an extremely quick temporary order or a request to declare a vote. The present research studies the concept of confidentiality clause in contracts for providing capital in law (with a comparative reference) using descriptive-analytical method.
